A tamper-evident ownership ledger — who holds what, across every class of security.
A tamper-evident ownership ledger for your organization — who holds what, across every class of security. Record instruments, issue and transfer them into an append-only event log, and read the folded holder positions as of any date. It is pure record-keeping: the module never raises money, solicits an investment, or moves a cent.
What's included
Append-only cap-table event log with a per-org hash chain
Instruments: common, preferred, options, RSUs, SAFEs, notes, warrants
Folded holder positions — the cap table "as of" any date
Valuation history, incl. an internal value computed from your books
About this module
Ownership records go wrong in a specific way: someone edits the spreadsheet. A number changes, nobody remembers why, and two years later the only honest answer to "who owned what in March" is a guess. Cap Table is built so that cannot happen. Every issuance, transfer, and cancellation is appended to a per-org event log secured by a hash chain, and the cap table you look at is a fold over that log rather than a stored snapshot. Asking for the table as of any past date replays the events up to that date. Fixing a mistake means writing a correcting event, which leaves the original and the correction both visible — history is added to, never overwritten.
The ledger covers the instruments a real ownership structure actually contains: common and preferred stock, ISO and NSO options, RSUs, SAFEs, convertible notes, and warrants. Instruments are defined once, then issued to holders; the Holders view rolls each person's positions into what they hold today, and the Cap Table view shows the whole picture folded together. Valuation history sits alongside it — priced rounds, 409A valuations, secondary sales, and market comparables — plus an internal value computed from your own books, so the org has a defensible number between formal events rather than a stale one from the last round.
The scope boundary is deliberate and worth stating plainly. This module records ownership. It does not raise capital, advertise a security, run a transfer agent, or take custody of anything. That keeps it useful to every org that simply needs its ownership to be accurate and auditable — which is most of them — without dragging them into a category of software built for a fundraising process they may never run.
What you can do with it
A founding team records its initial common split and keeps it current as people join and leave
An option or RSU grant is issued and the fully diluted picture updates from the same log
A SAFE or convertible note is recorded alongside priced equity so nothing lives outside the ledger
Answer "who owned what on this date" by replaying the event log rather than trusting a saved copy
Keep a valuation history that includes an internal value computed from your own accounting
